By accessing or using our website, mobile application, or any services offered through exclusivereviews.in (collectively, the "Platform"), you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Platform. We reserve the right to modify these Terms at any time; continued use after changes constitutes acceptance.

2. Eligibility

• You must be at least 18 years of age or the age of majority in your jurisdiction to create an account.
• You must provide accurate, current, and complete information during registration.
• You must not have been previously suspended or removed from the Platform.
• If registering on behalf of a company or entity, you represent that you have authority to bind that entity to these Terms.

3. Account Registration & Security

You are responsible for maintaining the confidentiality of your account credentials, including any two-factor authentication (2FA) backup codes. You agree to:

• Use a strong, unique password and enable 2FA when prompted.
• Immediately notify us of any unauthorized access to your account.
• Not share, sell, or transfer your account to any third party.
• Accept responsibility for all activity occurring under your account.

We reserve the right to suspend or lock accounts that exhibit suspicious activity, including but not limited to multiple failed login attempts or access from unusual locations.

4. Platform Services

Exclusive Reviews provides the following services:

• Review Submission: Users may submit product reviews subject to our Review Policy and quality standards.
• Rewards & Points: Earn reward points for verified, high-quality reviews, redeemable for coupons, vouchers, and other benefits.
• Product Discovery: Browse and search products across categories with verified community reviews.
• Company Analytics: Companies may access consumer insights, review analytics, and advertising tools through paid subscriptions.
• Advertising Marketplace: Companies may purchase ad placements through our bidding and negotiation system.

5. User Content & Intellectual Property

5.1 Your Content

By submitting reviews, comments, photos, videos, or any other content ("User Content"), you grant Exclusive Reviews a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, display, and distribute your User Content in connection with operating and promoting the Platform.

You retain ownership of your User Content. You represent and warrant that you have all necessary rights to submit such content and that it does not infringe upon any third-party rights.

5.2 Our Content

All content, trademarks, logos, designs, software, and other intellectual property on the Platform belong to Exclusive Reviews or its licensors. You may not copy, reproduce, distribute, or create derivative works without prior written consent.

6. Prohibited Conduct

You agree not to:

• Submit false, misleading, or fabricated reviews.
• Manipulate ratings, votes, or reward systems through fraudulent means.
• Create multiple accounts to circumvent restrictions or multiply rewards.
• Use automated tools, bots, or scrapers to access the Platform.
• Harass, threaten, or defame other users or companies.
• Upload malicious content, viruses, or harmful code.
• Attempt to gain unauthorized access to Platform systems or other user accounts.
• Engage in any activity that violates applicable Indian law or regulations.

7. Rewards, Points & Redemptions

Points earned on the Platform are subject to the Rewards & Points Policy. Key terms:

• Points have no cash value and cannot be exchanged for currency.
• Points may be forfeited if earned through fraudulent or policy-violating activity.
• We reserve the right to adjust point balances following investigation of suspicious activity.
• Reward eligibility, availability, and redemption values may change at our discretion.
• Unused points may expire after 12 months of account inactivity.

8. Moderation & AI Assessment

All reviews undergo automated and manual quality assessment. Our AI-powered moderation system evaluates reviews for authenticity, quality, and compliance. We reserve the right to:

• Approve, reject, or request revisions to submitted reviews.
• Remove content that violates our policies without prior notice.
• Suspend accounts that repeatedly submit policy-violating content.
• Use automated systems to detect and flag potential fraud or manipulation.

9. Third-Party Services

The Platform may integrate with or link to third-party services (payment providers, voucher partners, analytics tools). We are not responsible for the content, privacy practices, or terms of third-party services. Your use of such services is governed by their respective terms.

10. Disclaimers & Limitation of Liability

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by Indian law:

• We do not guarantee uninterrupted, error-free, or secure access to the Platform.
• We are not liable for any indirect, incidental, consequential, or punitive damages.
• Our total liability shall not exceed the amount paid by you to us in the 12 months preceding the claim.
• We do not endorse or verify the accuracy of user-submitted reviews.

11. Indemnification

You agree to indemnify and hold harmless Exclusive Reviews, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

• You may deactivate your account at any time through your account settings or by contacting support.
• We may suspend or terminate your account with or without notice for violation of these Terms.
• Upon termination, your right to access the Platform ceases immediately.
• Accrued but unredeemed points may be forfeited upon account termination for cause.
• Provisions relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

13.2 Arbitration

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted in New Delhi, India, in English, by a sole arbitrator appointed mutually by the parties.

13.3 Jurisdiction

Subject to the arbitration clause above, the courts of New Delhi, India shall have exclusive jurisdiction over any disputes not resolved through arbitration.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
